1. Agreement to These Terms

These Terms of Use ("Terms") govern your access to and use of the website located at wellvera.org and any related services, applications, content, or features made available by Wellvera (collectively, the "Site"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you must not access or use the Site.

The agreement created by these Terms is between you and Wellvera, regardless of how you accessed the Site (e.g., directly, through a third-party link, mobile device, or social media).

2. Modifications

Wellvera reserves the right, in its sole discretion, to modify these Terms at any time. When we do, we will revise the "Last Updated" date at the top of this page. Your continued use of the Site after any such change constitutes your acceptance of the revised Terms. You are responsible for reviewing the Terms periodically.

3. Use of the Site

To access and use the Site, you must have compatible devices, internet access, and any necessary software. You are responsible for any fees and data charges associated with your access. You must be at least 18 years of age, or otherwise have the legal capacity to consent to healthcare services on your own behalf, to use the Site.

4. Wellvera Is Not a Medical Provider

Wellvera is a digital health platform that provides administrative, marketing, and technology services to connect individuals with independent licensed clinicians and pharmacies. Wellvera does not itself provide medical advice, diagnose conditions, prescribe medication, or render any medical services.

Wellvera is not responsible or liable for any advice, course of treatment, diagnosis, or any other information, services, or products that you may obtain through the providers or medical groups.

Your access to or use of the Site does not by itself create a patient-provider relationship between you and any clinician.

5. Independent Providers and Medical Groups

Healthcare services accessed through the Site are provided by licensed clinicians ("Providers") affiliated with one or more independent professional medical groups, including OpenLoop Health and its affiliated practices (the "Medical Groups"). Providers are independent contractors of the Medical Groups and are solely responsible for the medical services they deliver, including their clinical judgment, diagnoses, treatment decisions, and prescriptions. Wellvera does not control, direct, or interfere with the practice of medicine by any Provider or Medical Group.

Wellvera does not act as a pharmacy and does not dispense or compound medications. Prescriptions written by Providers may be dispensed by independent third-party pharmacies, including but not limited to:

7. Protected Health Information

By using the Site, you consent to Wellvera sharing your information, including health information, with the Medical Groups, Providers, pharmacies, laboratories, and other entities involved in coordinating your care. While Wellvera is not typically a HIPAA "Covered Entity," it may function as a "business associate" of one or more Covered Entities, and in that capacity it will handle protected health information in accordance with applicable law and any business-associate agreement(s) in place. The Medical Groups maintain a separate Notice of Privacy Practices, which describes how protected health information about you may be used and disclosed.

By using the Site, you represent and warrant that: (a) all registration, intake, and other information you provide is truthful, accurate, current, and complete; (b) you are at least 18 years of age or otherwise have legal capacity to consent to healthcare services; (c) you will not use any automated means to access the Site; and (d) your use of the Site complies with all applicable laws.

All content on the Site — including text, graphics, logos, images, audio, video, software, and the selection, arrangement, and look-and-feel thereof — is owned by or licensed to Wellvera and is protected by copyright, trademark, and other intellectual-property laws. You may not copy, reproduce, modify, distribute, transmit, display, perform, publish, license, create derivative works of, transfer, or sell any content from the Site without our prior written consent.

12. Modifications to the Site

Wellvera may modify, suspend, or discontinue the Site (in whole or in part), temporarily or permanently, at any time and without notice. We are not liable to you or any third party for any such modification, suspension, or discontinuation.

To the maximum extent permitted by applicable law, the Site is provided on an "as is" and "as available" basis, without warranty of any kind, express or implied, including without limitation any warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, security, error-correction, or uninterrupted operation.

Wellvera makes no representation or warranty that the Site will be available at any particular time or location, that it will be free of defects or errors, or that any information obtained through the Site will be accurate, complete, or reliable.

The Site may contain content, opinions, or links provided by third parties. Wellvera does not endorse and is not responsible for the accuracy, completeness, or usefulness of any third-party content, nor for any third-party websites, products, services, or transactions accessed through links on the Site. Your dealings with any third party are solely between you and that party.

15. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will Wellvera, its affiliates, or their respective officers, directors, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising out of or related to your use of, or inability to use, the Site, even if advised of the possibility of such damages. Wellvera's aggregate liability arising out of or related to these Terms or the Site will not exceed the total amounts you paid to Wellvera in the twelve (12) months immediately preceding the event giving rise to the claim.

Any cause of action or claim you may have arising out of or relating to these Terms or the Site must be commenced within one (1) year after the cause of action accrues, otherwise such cause of action or claim is permanently barred.

Due to the nature of the products and services offered, any applicable fees, including subscription, medication, and consultation fees, are not refundable in whole or in part except where required by law or expressly stated otherwise.

You may stop using the Site at any time. Wellvera may terminate or suspend your access to the Site at any time, with or without cause, and with or without notice. Provisions that by their nature should survive termination — including, without limitation, the Disclaimers, Limitation of Liability, Indemnity, and Governing Law sections — will survive.

You agree to defend, indemnify, and hold harmless Wellvera and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of, or inability to use, the Site; (b) your violation of these Terms; or (c) your violation of any third-party right, including any intellectual-property or privacy right.

19. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Iowa, without regard to its conflict-of-laws provisions. Any dispute arising out of or relating to these Terms or the Site that is not subject to mandatory arbitration will be brought exclusively in the state or federal courts located in Polk County, Iowa, and you irrevocably consent to the personal jurisdiction and venue of those courts.

You consent to receive communications from us electronically (for example, by email or by posting notices on the Site). You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.

21. Entire Agreement

These Terms, together with any additional terms, policies, or agreements referenced herein (including our Notice of Privacy Practices), constitute the entire agreement between you and Wellvera with respect to the Site and supersede all prior or contemporaneous understandings.
